Fred Bauer has considerable experience in setting up and running entrepreneurial ventures.  His resume is considered to be a valuable resource for companies that are trying to raise capital.  He brings a level of discipline to the execution of business plans that allow small companies that engage his services as the virtual CEO significant advantages in building their capital structure as well as executing their business plans.

Fred Bauer will serve on the board of directors of the company from this date forward and that the company will be authorized to use the credentials, background and resume of the professional in the course of its normal business operations, including the raising of capital without limitation.

As the Virtual CEO, Fred will assume responsibility for the following work assignments:

1.         Development of a business plan that will meet capital compliance requirements including a financial model that the Board of Directors approves.

2.         Assistance in the recruitment of a Board of Directors subject to the approval of the founder.

3.         Lead the Board of Directors to the creation of a company that fulfills the vision of the founder and the investors of the company as articulated in the business plan.  Such services will include coaching members of the board and the management team, as well as limited mediation services where the professional is not a direct participant in the conflict.

4.         Representing the company by articulating its mission, vision and goals in public forums to assist the company in meeting its goals.

5.         Assist the founder in strategies to generate revenue based on the patents that are in existence without the expenditure of capital.
